Terms of Service
Updated: September 2026
Chapter 1 — Definitions and Legal Scope
1.1 Definitions
The Company — MAYBEL System Ltd., company no. 517052841, a company registered in Israel, the owner and operator of the Platform, including its legal successors, assignees and affiliated companies, to the extent required for the provision or management of the Services.
The Platform — the website and/or the application and/or any other digital interface owned or operated by the Company, including systems, software, user interfaces, control panels, APIs, databases, cloud infrastructure, subdomains and any current or future update thereof.
The Services — all digital services provided through the Platform under a software-as-a-service (SaaS) model, including customer relationship management, marketing and sales automation, landing page and form building, lead management, messaging and mailing communications, systems integration, technical consulting and artificial intelligence applications — whether paid or free, in trial or final version.
Subscription — the model under which access to the Services is granted in consideration for monthly or annual Subscription Fees, or under a free or trial plan, defining the term of validity, usage limits, included capabilities and the renewal and cancellation policy.
Plan — the package of capabilities and technical limits applicable to the Subscription — including number of users, storage capacity, interface limits and fair use policy — as published by the Company from time to time.
User — any individual or legal entity accessing the Platform, creating an account or using the Services, whether personally or as an authorised representative of a commercial entity.
Business User — any commercial entity or self-employed person using the Platform for business purposes, including sub-users, team members or authorised representatives. The entity is responsible for the actions of its sub-users and for compliance with these Terms.
User Data — any data, content, files or inputs entered, uploaded or processed through the Platform, including texts, files, operational data and end-customer data.
Service Outputs — any result, report, recommendation, analysis, message, file or content produced by the Platform, including artificial intelligence outputs. The User acknowledges that certain outputs may be probabilistic in nature and are not necessarily accurate.
Third-Party Providers — all third parties the Company relies on for the provision of the Services — including cloud storage, payment processing, email, messaging, analytics, security and artificial intelligence models. These providers are not a direct party to the engagement with the User, but operate under their own terms.
Force Majeure — any event beyond the Company's reasonable control affecting the provision of the Service, including communications or power outages, infrastructure or storage failures, cyber attacks, governmental actions, war, hostilities, strikes, epidemic or natural disaster.
Governing Law — the laws of the State of Israel.
1.2 Nature of the Agreement and Binding Effect
These Terms constitute a binding legal agreement between the Company and the User. Creating an account, ticking a confirmation box, making a purchase or activating a Subscription constitute acceptance of the Terms. Any material change to the Terms shall be made subject to law, and where additional express consent is required by law — the Company shall act to obtain it.
- creating an account on the Platform;
- ticking a confirmation box referring to these Terms;
- making a purchase or activating a Subscription;
- using the Platform or continuing to use it after publication of an update to the Terms.
1.3 Scope of Application
These Terms apply to:
- all Users — private and business;
- all Services — existing and future;
- all means of access — website, application, APIs and integrations;
- all use, whether carried out in Israel or outside it.
1.4 Precedence in the Event of Conflict
In the event of a conflict between documents, precedence shall be given in the following order:
- (a) a written and signed agreement with a customer, where one exists;
- (b) these Terms of Use;
- (c) the published policies — the Privacy Policy, the Refund and Cancellation Policy and the Cookie Policy;
- (d) quotations, pricing pages or marketing materials — which do not create a binding commitment unless expressly incorporated into the agreement.
1.5 Marketing Content Does Not Constitute a Commitment
Any example, figure, performance statement or use case presented on the website, in proposals or in marketing materials — is for illustration only and does not constitute a warranty or a commitment to achieve a particular result, unless expressly so provided in a written agreement.
Chapter 2 — Legal Nature of the Service
All Services are provided under a software-as-a-service (SaaS) model — that is, a grant of access rights to digital solutions through a cloud-based environment, without any transfer of physical ownership or intellectual property to the User.
The User acknowledges that the contractual relationship constitutes:
- an agreement granting access and use rights — and not a sale agreement;
- not an exclusive licence agreement;
- not a commitment to achieve specific results.
The User's right is limited to use of the Services during the term of a valid Subscription only, and expires upon the end of the Subscription or its cancellation for any reason.
2.1 The Legal Framework of the Subscription
The Subscription is a time-limited agreement granting access to the Services in accordance with the selected Plan, the applicable technical and operational limits, and the Subscription term.
The Subscription does not confer a permanent or vested right, and does not impose on the Company an obligation to continue providing the Services in the same configuration or with the same set of capabilities.
The Company may change, add or remove capabilities from the Platform. The removal of a material capability that formed a principal part of the Plan shall entitle the User to at least 30 days' advance notice and to a right to cancel the Subscription and receive a proportional refund for the unused period.
2.2 The Services Are Provided "As Is"
The Services are provided on an "as-is" and "as-available" basis. The Company makes reasonable efforts to maintain availability, stability and proper operation, but does not warrant continuous, error-free or uninterrupted operation.
The User acknowledges that SaaS services incorporating third-party integrations, cloud infrastructure or artificial intelligence models are inherently exposed to updates, changes or temporary interruptions.
A temporary interruption, degradation in performance or technical change shall not in themselves be deemed a fundamental breach of the agreement. Nothing in the above shall derogate from the User's rights under law in the event of continued failure to provide the Service.
2.3 No Commitment to Achieve Results
The Services are provided as a technical means only. The Company does not undertake to achieve any commercial, financial, operational or analytical results.
The User bears sole responsibility for assessing the suitability of the Services to the User's specific needs, and for verifying the accuracy of Service Outputs before relying on them — and in particular outputs produced by artificial intelligence.
Chapter 3 — Account Creation and User Responsibility
3.1 Conditions for Creating an Account
Use of the Platform and making purchases through it are permitted only to persons aged 18 and over. Use of the Platform by anyone who has not yet reached the age of 18 is prohibited.
To create an active account the User must be a person with full legal capacity, or a legal entity represented by a duly authorised representative.
The User undertakes to provide accurate, complete and up-to-date information. Providing incorrect or misleading information constitutes a fundamental breach of these Terms.
The Company may refuse to create an account, suspend or close an account on account of incorrect information, and request additional identification documents to the extent required for verification or compliance with law.
3.2 Responsibility of a Private User
A private User acknowledges that the Platform is used in the User's own name, and that the User bears sole responsibility for all legal, financial and technical obligations arising from use of the Services.
3.3 Responsibility of a Business User
Where the Platform is used by a corporation or a self-employed person:
- the person creating the account represents that they were duly authorised to do so;
- the entity is bound by all obligations arising from the use;
- the entity bears full responsibility for the actions of its sub-users, employees and representatives;
- the entity is responsible for the lawfulness of the information it enters into the system and for its right to process it.
3.4 Account Security
The User is fully responsible for maintaining the confidentiality of their login credentials and for all activity carried out in their account.
The User must notify the Company immediately upon becoming aware of unauthorised access, loss of access credentials or a suspected security incident.
The Company may require a password change or temporarily suspend access where necessary to protect the account or the Platform.
Chapter 4 — Intellectual Property
All rights, title and interest in the Platform, the Services and the intellectual property associated with them — including software, source code, designs, trademarks, artificial intelligence models and documentation — shall remain the exclusive property of the Company and its licensors.
The Subscription grants the User a limited, non-exclusive, non-transferable and revocable right to access and use the Services during the term of a valid Subscription only and for the User's business purposes.
The User shall not:
- copy, modify, distribute or create derivative works from the Platform;
- reverse engineer or decompile any component of the Platform;
- use the Services for the purpose of developing a competing product or service;
- remove or obscure proprietary notices or labels.
4.1 Ownership of User Data
The User remains the owner of the rights in the User Data. By using the Platform, the User grants the Company a limited licence to process, store and use the User Data solely for the purpose of providing the Services, as described in these Terms and in the Privacy Policy.
The Company shall not use User Data for the purpose of training general-purpose models, and shall not disclose it to a third party except as set out in the Privacy Policy.
4.2 Data Export on Termination of the Engagement
Upon termination of the engagement, the Company shall make available to the User the ability to export their data for a period of 30 days. At the end of that period the Company may delete the data, subject to retention obligations under law.
Chapter 5 — Subscriptions, Subscription Fees and Billing
5.1 Subscription Fees and VAT
Subscription Fees are determined on the basis of the selected Plan and are paid in advance for each Billing Cycle — monthly or annual.
Prices are denominated in New Israeli Shekels. For a User who is a consumer, the total payable price shall be displayed, including value added tax and any other mandatory payment, as required by law. For a Business User the Company may display a price excluding VAT, provided that this is clearly stated and the final charge amount is displayed before the transaction is approved.
5.2 Billing Cycles and Renewal
The Subscription renews automatically at the end of each Billing Cycle, unless previously cancelled in accordance with the Refund and Cancellation Policy.
Before the renewal of an annual Subscription, advance notice shall be sent by email at least 14 days before the billing date, and in any event the notices required by law in respect of a continuing transaction or a fixed-term transaction shall be given.
5.3 Payment Processing and Payment Methods
Payment processing is carried out through a licensed payment provider — GROW (Meshulam) — acting as a payment processor. Full credit card details are not stored on the Company's servers.
For the purpose of recurring billing, an encrypted identifier (token) representing the payment method is stored with the payment provider. Storage of the token is conditional on the User's express consent by way of a dedicated checkbox displayed on the payment page before the first charge.
The User may remove a stored payment method at any time through the control panel. Removal of a payment method does not cancel an active Subscription and does not release the User from an existing debt.
5.4 Non-Payment, Suspension and Cancellation
Where payment is not collected on time, repeated charge attempts shall be made over 14 days. During that period a warning shall be sent to the User by email.
At the end of the 14 days, if payment has not been collected, the Service shall be suspended and the Subscription cancelled. Reactivation is conditional on settlement of the debt.
User Data shall be retained during the suspension period and for the export period as set out in section 4.2.
5.5 Third-Party Costs
Some capabilities involve costs charged by Third-Party Providers — including WhatsApp messages charged by Meta and telephony services.
These costs are set by the provider, are not within the Company's control, and are passed on to the User at cost without markup. A change in the provider's prices shall be reflected in the User's account.
The Company shall present the User with a breakdown of third-party costs separately from the Subscription Fees.
5.6 Price Changes
The Company may update the prices of the Plans. A price update shall apply to the Billing Cycle following at least 30 days' advance notice.
A User who does not wish to accept the update may cancel the Subscription before it takes effect, in accordance with the Refund and Cancellation Policy.
A price update shall not apply to a prepaid annual Subscription before the end of the period paid for.
Chapter 6 — Prohibited Uses
The User undertakes not to use the Platform or the Services for the purpose of:
- breaching any applicable law or regulation;
- infringing the intellectual property rights of the Company or of a third party;
- sending advertising material in contravention of section 30A of the Communications Law (Telecommunications and Broadcasting), 5742-1982, including by mailing, SMS or WhatsApp;
- processing personal information without a lawful basis or in contravention of the Protection of Privacy Law;
- transmitting malicious code, spam or unauthorised advertising;
- attempting to gain unauthorised access to any part of the Platform or to other systems;
- developing or operating a competing product or service;
- scraping or automatically collecting data from the Platform without prior written consent;
- fraudulent, deceptive or harmful activity;
- impersonating any person or entity.
A breach of these prohibitions may lead to immediate suspension or closure of the account, without derogating from any other legal remedy available to the Company.
Chapter 7 — Limitation of Liability and Indemnity
7.1 Limitation of Liability
To the extent permitted by law, the Company shall not be liable for any indirect, incidental, special or consequential damage arising from or connected with use of the Services, including loss of profits, revenue, data or business opportunity.
With respect to a Business User, and to the extent permitted by law, the Company's aggregate liability for claims arising from the same set of facts shall not exceed the amount of Subscription Fees paid by that User in the three months preceding the event giving rise to the cause of action. With respect to a User who is a consumer, this limitation shall apply only to the extent permitted by law, and shall not derogate from any mandatory right.
Nothing in the above shall release the Company from liability in the event of an act or omission committed wilfully or with gross negligence, or from any liability that may not be contracted out of under law.
7.2 Indemnity
The User undertakes to indemnify the Company, its officers, employees and representatives, for any claim, damage, loss or expense — including legal fees — arising from:
- the User's use of the Services in breach of these Terms;
- User Data entered into the Platform unlawfully or without a lawful basis;
- a breach of law or infringement of a third party's right by the User.
The Company shall notify the User of any such claim within a reasonable time and shall allow the User to participate in the defence.
Chapter 8 — Suspension and Termination
8.1 Suspension or Termination by the Company
The Company may suspend or terminate the User's account and access to the Services in cases of:
- a fundamental breach of these Terms;
- non-payment of Subscription Fees in accordance with section 5.4;
- fraudulent activity or misuse;
- a requirement under law or an order of a competent authority.
Except in urgent cases or in the event of a serious breach, the User shall be given notice and a reasonable opportunity to cure the breach.
8.2 Consequences of Termination
Upon termination of the engagement:
- the User's right to access the Services expires;
- User Data shall be retained for the export period as set out in section 4.2, and thereafter deleted;
- Subscription Fees paid shall be subject to the Refund and Cancellation Policy.
8.3 Cancellation by the User
The User may cancel the Subscription in accordance with the Refund and Cancellation Policy, which forms an integral part of these Terms of Use, and subject to the provisions of the Consumer Protection Law, 5741-1981, including the provisions of sections 13C-13D and 14C-14E of that law, and to the provisions of the Consumer Protection Regulations (Cancellation of a Transaction), 5771-2010, to the extent they apply to the transaction. Nothing in these Terms or in the Refund and Cancellation Policy shall derogate from any right of cancellation or any other right conferred on the User by law that may not be contracted out of.
Chapter 9 — Privacy, Security and Accessibility
The processing of personal information on the Platform is governed by the Privacy Policy, which forms an integral part of these Terms.
The Company employs security measures in accordance with the Protection of Privacy Regulations (Data Security), 5777-2017.
The Company works to make the Platform accessible in accordance with the Equal Rights for Persons with Disabilities Regulations (Accessibility Adjustments to a Service), 5773-2013 and Israeli Standard SI 5568. Full details are in the Accessibility Statement.
Chapter 10 — Time and Manner of Service Delivery
The Service is an online software service of the SaaS type, provided digitally only, and does not include shipping of a physical product. Access to the system shall be opened following approval of payment, and login details shall be sent to the User at the email address provided on registration. The date on which access to the system is opened shall be deemed the date on which provision of the Service commences.
Chapter 11 — Governing Law and Dispute Resolution
These Terms and any engagement with the Company shall be governed by the laws of the State of Israel, subject to any mandatory legal provision applicable to the User.
The parties shall seek to resolve any dispute by way of good-faith negotiation. With respect to a Business User only, and to the extent permitted by law, exclusive local jurisdiction shall lie with the competent courts in the Central District. With respect to a consumer, the rules of jurisdiction and the protections prescribed by law shall apply, and the consumer's right to apply to a competent tribunal shall not be derogated from.
Nothing in the above shall derogate from the right of a customer who is a consumer to apply to the competent tribunal in their place of residence, to the extent the law confers that right.
Chapter 12 — General Provisions
12.1 Amendments
The Company may amend these Terms from time to time. Advance notice of at least 30 days shall be given of any material change. Continued use of the Platform after the commencement date constitutes acceptance of the updated version. A User who does not agree to the change may cancel the Subscription before it takes effect.
12.2 Severability
If any provision of these Terms is held void or unenforceable, that determination shall not affect the validity of the remaining provisions.
12.3 No Waiver
Any forbearance or delay by the Company in exercising a right shall not be deemed a waiver of it. A waiver shall be valid only if given expressly and in writing.
12.4 Assignment
The User shall not assign their rights under these Terms without the Company's prior written consent. The Company may assign its rights in the context of a merger, acquisition or transfer of assets, provided that the level of service is maintained.
12.5 Entire Agreement
These Terms, together with the Privacy Policy, the Refund and Cancellation Policy, the Cookie Policy and the Accessibility Statement, constitute the entire agreement between the parties with respect to use of the Services.
